This Merchant Agreement (“Agreement”) is entered into by and between Taste This
(“Company”), and Merchant (“Merchant”). This Agreement governs the terms and conditions
under which Merchant will participate in Company’s digital coupon program (the “Program”).
Agreement Term: Until terminated as per Section 6
1.1 Offer Description: Merchant agrees to provide discount offer to Program members:

1.2 Redemption Process: The offer may be redeemed by Program members by showing the
digital coupon code at checkout.
1.3 Restrictions: The offer will not be valid on restrictions, e.g., “holidays, sale items, or with
other promotions as indicated on form.
2.1 Offer is ongoing until canceled.
2.2 Blackout Dates: The offer will not be valid on dates indicated on the form
3.1 Coupon Acceptance: Merchant agrees to honor all valid coupons presented by Program
members per the terms of this Agreement.
3.2 Communication of Changes: Merchant shall notify Company of any changes to the offer or
restrictions with at least 48 hour notice.
3.3 Customer Experience: Merchant agrees to train staff regarding accepting and redeeming
offers and uphold a high level of customer service for Program members using the offer.
4.1 Promotion of Offer: Company will display the offer on its digital platforms, including the
website and mobile, and may feature the offer in marketing or promotional materials as deemed
appropriate.
4.2 Reporting and Analytics: Company may provide Merchant with periodic reports on coupon
usage to help evaluate the Program’s effectiveness.
5.1 Participation Fee: Merchant participation in the program is FREE.
6.1 Termination: Either party may terminate this Agreement with 30 days’ written notice.
6.2 Modifications: Any modifications to the offer must be mutually agreed upon in writing by
both parties.
7.1 Confidential Information: Each party agrees to keep confidential any proprietary
information shared during the term of this Agreement.
7.2 Data Use: Company will handle any data related to coupon usage in compliance with
applicable data protection laws and will share only aggregated or anonymized data with
Merchant, if applicable.
8.1 Limitation of Liability: Neither party shall be liable for any indirect, special, or
consequential damages arising out of this Agreement.
8.2 Dispute Resolution: Any disputes arising from this Agreement will first be addressed
through mediation. If mediation fails, the parties agree to submit to binding arbitration in the
State of Ohio.
9.1 Entire Agreement: This Agreement constitutes the entire understanding between the
parties and supersedes any prior discussions or agreements.
9.2 Amendment: Any amendment to this Agreement must be in writing and signed by both
parties.
9.3 Governing Law: This Agreement shall be governed by the laws of the State of Ohio
